Cognition snaps up what Google left behind at Windsurf

Published Reach 73

Cognition Labs just acquired Windsurf's remaining business, IP, and 240+ employees, just 72 hours after Google paid $2.4 billion to hire away its founders. Cognition inherits 350 enterprise accounts generating $82M in ARR, with plans to embed its autonomous Devin agent straight into the Windsurf IDE.

Google paid billions just to walk away with the brain trust, and 72 hours later, Cognition stepped in to take the crown jewels.

On July 11, 2025, Google executed a stunning $2.4 billion reverse acquihire on Windsurf. In one fell swoop, Mountain View poached CEO Varun Mohan, co-founder Douglas Chen, and a select handful of research scientists, securing nothing more than a non-exclusive IP license. The rest of the company was left hanging: around 240 employees, an $82 million ARR business doubling quarter-over-quarter, and 350 enterprise accounts including Dell and Zillow.

Windsurf's head of business and interim CEO Jeff Wang called it the wildest rollercoaster ride of his career. But the ride didn't stay off the rails for long.

A 72-hour masterclass in asset recovery

On Monday morning, July 14, Cognition Labs CEO Scott Wu announced a definitive agreement to acquire Windsurf in full. While the price remains undisclosed, analysts suspect Cognition paid a fraction of what Google shelled out, all while walking away with substantially more.

Cognition didn't just buy code. It absorbed the entire remaining 240-plus team, swelling its headcount from 80 to over 320 people. In a sharp contrast to Google's selective payday, Cognition offered full financial participation to every single incoming employee, waiving vesting cliffs and accelerating equity earned to date.

Crucially, the deal also restored Windsurf's access to Anthropic's Claude. Windsurf had previously lost that pipeline during a failed $3 billion acquisition attempt by OpenAI, which fell apart over intellectual property concerns tied to Microsoft.

Marrying Devin with an agentic IDE

Strategically, this pairing solves the biggest puzzle in AI development today: the divide between autonomous coding agents and daily developer workflows.

Cognition built Devin, an autonomous agent that operates in its own shell, browser, and editor to build features from scratch. Windsurf built the best-in-class agentic IDE with Tab and Cascade, outperforming rivals in deep codebase refactoring.

Now the vision is unified. Developers can plan features inside Windsurf, spin up a fleet of parallel Devin agents to write the code in the background, tweak critical sections themselves via Tab autocomplete, and review all incoming agent PRs right inside the same editor.

Why it matters

We think this might go down as one of the shrewdest M&A moves in modern tech history.

For developers, the payoff is immediate and practical. Instead of juggling a terminal window for autonomous tasks and a separate editor for real-time coding, you get an end-to-end workspace backed by Claude and Devin. If you are an enterprise engineering lead or an indie builder already using Windsurf, staying put looks like a no-brainer.

For the industry, Google's maneuver showed how Big Tech is willing to spend billions on reverse acquihires solely to dodge antitrust scrutiny and snatch a few top minds. But Cognition proved that founders aren't the entire company. By securing the commercial engine, 350 enterprise contracts averaging $234,000, and the core engineering army, Cognition catapulted itself from an 80-person boutique into a fully integrated enterprise powerhouse.

The real test will be cultural and technical execution. Absorbing a team three times its size overnight is risky, and keeping product velocity high without the original founders will take serious leadership. But on paper, Cognition just turned Silicon Valley chaos into an unfair competitive advantage.
